1. Agreement to Terms

Welcome to Linksh ("Service", "we", "us", or "our"), operated by CHAGIL OÜ, a company registered in Estonia (Registration Code: 16360108).

By accessing or using Linksh, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

Important: These Terms constitute a legally binding agreement between you and CHAGIL OÜ.

2. Service Description

Linksh is a business information management and sharing application that allows users to:

Store and organize business information (bank details, contact information, VAT numbers, etc.)
Create templates grouping related information
Share business information professionally via native device sharing
Manage business data efficiently

Current Service Status: Linksh is currently offered as a free service. We reserve the right to introduce paid features, subscriptions, or modify the service offering at any time with notice as described in Section 15.

3. Eligibility and Account Registration

3.1 Age Requirement

You must be at least 16 years of age to use Linksh. By using the Service, you represent and warrant that you are 16 years or older. If we discover that a user is under 16, we will immediately terminate their account.

3.2 Account Creation

You must provide accurate, current, and complete information during registration
You are responsible for maintaining the confidentiality of your account credentials
You are responsible for all activities that occur under your account
You must notify us immediately of any unauthorized access or security breach

3.3 Multiple Accounts

While not strictly enforced, users are discouraged from creating multiple accounts. We reserve the right to limit, suspend, or terminate multiple accounts at our discretion.

3.4 Account Suspension and Termination

We reserve the right to:

Suspend your account temporarily for investigation or violations
Terminate your account permanently for any reason at our sole discretion
Remove, modify, or refuse any content at any time without notice
Take any action we deem necessary to protect the Service or other users

4. Service Features and Limitations

4.1 Current Free Tier

As of the effective date, all users have access to:

Storage of up to 100 items (business information entries)
Template creation and management
Native device sharing functionality
Multi-language support (English, Hebrew, Russian)

Note: These limitations and features may change at any time. Check our website or app for current offerings.

4.2 Service Availability

The Service is provided on an "as available" and "as is" basis
We do not guarantee uninterrupted, timely, secure, or error-free operation
We strive for high availability but make no specific uptime guarantees
Scheduled maintenance and downtime may occur without notice

4.3 Beta and Experimental Features

We may offer features labeled as "Beta," "Experimental," or similar designations
Beta features are provided without warranties and may be changed or removed at any time without notice
Your use of beta features is at your own risk
Beta features may have limited or no support

4.4 Data Storage and Backups

We use commercially reasonable efforts to secure and backup your data
However, we do not guarantee data integrity, availability, or recovery
You are responsible for maintaining your own backup copies of important information
We are not liable for any data loss, corruption, or unavailability

5. User Content and Intellectual Property

5.1 Your Content Ownership

You retain all ownership rights to the business information, data, and content you store in Linksh ("Your Content"). We do not claim ownership of Your Content.

5.2 License Grant to Us

By using the Service, you grant CHAGIL OÜ a worldwide, non-exclusive, royalty-free, transferable license to:

Store, process, and display Your Content to provide the Service
Create anonymized and aggregated versions of Your Content
Use anonymized data for analytics, research, and business purposes
Retain anonymized data even after account deletion or termination

Important: After account deletion, your personal identifiers (name, email) are removed, but anonymized usage data (e.g., "user_23443") is retained for business analytics.

5.3 Our Intellectual Property

All intellectual property rights in the Service, including but not limited to:

Software, code, and algorithms
Design, UI/UX, and branding
Linksh name, logo, and trademarks
Documentation and materials

...are owned exclusively by CHAGIL OÜ or our licensors. You may not copy, modify, distribute, sell, or create derivative works without our express written permission.

5.4 Watermark and Attribution

Free tier users acknowledge that shared content may include "Shared via Linksh" watermark or attribution. While this is included in shared drafts, users may manually remove it after sharing if their platform allows editing.

6. Acceptable Use Policy

6.1 Prohibited Content

You may NOT store, share, or use the Service for content related to:

Illegal activities: Any content that violates local, national, or international law
Adult content: Pornography, sexual services, or explicit material
Weapons: Sale, distribution, or promotion of weapons, ammunition, or explosives
Drugs: Illegal drugs, controlled substances, or drug paraphernalia
Prostitution: Sexual services or related activities
Gambling: Illegal gambling operations (where prohibited by law)
Hate speech: Content promoting hatred, violence, or discrimination based on race, religion, ethnicity, gender, sexual orientation, or disability
Harassment: Bullying, stalking, threats, or intimidation
Fraud: Scams, phishing, pyramid schemes, or deceptive practices
Malware: Viruses, trojans, ransomware, or malicious code
Spam: Unsolicited bulk messages or commercial solicitation
Impersonation: Falsely representing yourself as another person or entity
Intellectual Property Violation: Copyrighted content without authorization
False Information: Deliberately misleading or false information intended to harm others

6.2 Prohibited Activities

You may NOT:

Use bots, scrapers, or automated tools to access the Service
Attempt to reverse engineer, decompile, or hack the Service
Access another user's account without permission
Interfere with or disrupt the Service or servers
Bypass any security measures or access restrictions
Use the Service for any unlawful purpose
Share or sell your account credentials
Use third-party tools to access Linksh (except official browser extensions developed by us)
Overload or stress-test the Service intentionally
Extract or harvest data from other users

6.3 Enforcement

Violation of this Acceptable Use Policy may result in:

Immediate content removal
Account suspension or termination
Reporting to law enforcement authorities
Legal action for damages

We reserve the right to investigate violations and take any action we deem appropriate.

7. Third-Party Services and Integrations

7.1 Third-Party Dependencies

The Service relies on third-party providers including:

Google Firebase (storage and authentication)
Google Analytics (analytics)
SendGrid (email delivery)
OneSignal (push notifications)
Google Ads/AdMob (advertising)
Stripe/RevenueCat (future payment processing)

7.2 No Guarantees

We do not guarantee:

Availability or functionality of third-party services
Compatibility with third-party integrations
Continued availability of any integration

You acknowledge that third-party service disruptions may affect the Service, and we are not liable for such disruptions.

7.3 Third-Party Terms

Your use of third-party services integrated with Linksh is subject to those providers' terms and policies. We are not responsible for third-party practices or policies.

8. User Responsibilities and Liability

8.1 Your Responsibility for Content

You are solely responsible for:

The accuracy of information you store and share
Consequences of sharing incorrect, incomplete, or misleading information
Verifying recipient information before sharing
Complying with applicable laws regarding information sharing
Any tax, legal, or financial consequences of information you share

Example: If you share incorrect bank details and a payment is misdirected, you are solely responsible. We are not liable for such errors.

8.2 Security Responsibilities

You must:

Use strong passwords and enable security features
Keep your account credentials confidential
Notify us immediately of any unauthorized access
Not share your account with others

8.3 Third-Party Claims and Indemnification

You agree to indemnify, defend, and hold harmless CHAGIL OÜ, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your use of the Service
Your Content
Your violation of these Terms
Your violation of any third-party rights
Any claims that your Content infringes on intellectual property rights

Example: If someone claims you stored their private information without permission, you are responsible for defending that claim, not us.

9. Disclaimers and Limitations of Liability

9.1 Service Provided "AS IS"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability or fitness for a particular purpose
Warranties of accuracy, reliability, or availability
Warranties of non-infringement
Warranties that the Service will be uninterrupted or error-free

9.2 No Liability for Data Loss

WE ARE NOT LIABLE FOR:

Loss, corruption, or deletion of Your Content
Inability to access Your Content
Errors or omissions in Your Content
Consequences of sharing incorrect information

9.3 No Liability for Third-Party Services

WE ARE NOT LIABLE FOR:

Actions or omissions of third-party service providers
Third-party service disruptions (Firebase, Google, SendGrid, etc.)
Third-party security breaches or data loss

9.4 No Liability for User Actions

WE ARE NOT LIABLE FOR:

Harm caused by other users
Content stored or shared by users
Illegal or inappropriate use of the Service by users
Financial losses from incorrect information sharing

9.5 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHAGIL OÜ'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED:

For free tier users: €0 (zero euros)
For paid tier users (when implemented): The amount you paid in the 12 months preceding the claim

IN NO EVENT SHALL WE BE LIABLE FOR:

Indirect, incidental, consequential, special, or punitive damages
Lost profits, revenue, data, or business opportunities
Business interruption
Reputational harm

9.6 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

Natural disasters (earthquakes, floods, fires)
War, terrorism, or civil unrest
Pandemics or public health emergencies
Government actions or regulations
Internet or telecommunications failures
Third-party service provider failures
Cyberattacks or security incidents

10. Privacy and Data Protection

10.1 Privacy Policy

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10.2 Data Retention After Deletion

Upon account deletion:

Your personal identifiers (name, email, contact information) are immediately removed
Your Content is anonymized and retained in anonymized form (e.g., "user_23443")
Anonymized usage data may be retained indefinitely for analytics and business purposes

10.3 Data Export

You have the right to export your data in JSON or CSV format by contacting us at info@linksh.app. Export includes:

All items (business information) you created
All templates you created
Account information
Share history

Limitation: Data export requests are limited to once per month to prevent abuse.

10.4 Inactive Accounts

Accounts inactive for 24 consecutive months may be deleted with 30 days advance notice sent to your registered email address. If you do not respond or log in during the notice period, your account and data will be permanently deleted.

11. Intellectual Property and Copyright

11.1 Copyright Infringement Claims

If you believe content stored by a user infringes your copyright or other intellectual property rights, contact us at info@linksh.app with:

Description of the copyrighted work
Location of the allegedly infringing content
Your contact information
Statement of good faith belief
Statement under penalty of perjury that the information is accurate

We may remove allegedly infringing content at our discretion but are under no obligation to do so.

11.2 Counter-Notification

If your content is removed due to a copyright claim and you believe it was removed in error, you may submit a counter-notification to info@linksh.app.

11.3 Repeat Infringers

We reserve the right to terminate accounts of users who repeatedly infringe intellectual property rights.

12. Payment and Subscriptions (Future)

12.1 Future Paid Features

While the Service is currently free, we may introduce paid subscription tiers in the future with features such as:

Increased storage limits
Removal of watermarks
Advanced analytics
Priority support
API access

12.2 Pricing Changes

We reserve the right to change pricing for paid features at any time with 30 days advance notice to affected users.

12.3 Refund Policy

When paid features are introduced, our refund policy will be specified separately. Unless otherwise stated, all payments are non-refundable.

12.4 Payment Processing

Payments will be processed through third-party payment processors (Stripe, RevenueCat). You agree to their terms and policies. We do not store your full credit card information.

12.5 Taxes

You are responsible for any applicable taxes related to your subscription or use of paid features.

13. Termination

13.1 Termination by You

You may terminate your account at any time by:

Using the account deletion feature in the app
Contacting us at info@linksh.app

Upon termination by you, your personal data will be anonymized as described in Section 10.2.

13.2 Termination by Us

We may suspend or terminate your account at any time, with or without cause, with or without notice, at our sole discretion.

Reasons for termination may include (but are not limited to):

Violation of these Terms
Violation of Acceptable Use Policy
Illegal activities
Fraudulent or deceptive conduct
Excessive complaints from other users or third parties
Prolonged inactivity
Any reason we deem appropriate

13.3 Effect of Termination

Upon termination:

You lose access to the Service and Your Content
Your personal identifiers are removed or anonymized
You remain liable for any obligations incurred before termination
Sections related to liability, indemnification, and disputes survive termination

13.4 No Refunds Upon Termination

If we terminate your account for violations, you are not entitled to any refunds for paid subscriptions (when applicable).

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Estonia, without regard to conflict of law principles.

14.2 Jurisdiction

Any disputes arising from or relating to these Terms or the Service shall be resolved in the courts of Estonia. You consent to the exclusive jurisdiction of Estonian courts.

14.3 EU Online Dispute Resolution

Important Update: The European Online Dispute Resolution (ODR) Platform has been discontinued as of July 20, 2025, pursuant to EU Regulation 2024/3228.

14.4 Informal Resolution

Before filing any legal action, you agree to attempt to resolve disputes informally by contacting us at info@linksh.app. We will attempt to resolve the dispute through good-faith negotiations.

14.5 Limitation Period

You must bring any claims within one (1) year from the date the cause of action arose, or the claim is permanently barred.

15. Changes to Terms and Service

15.1 Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective:

Immediately upon posting for minor changes (typos, clarifications)
30 days after notice for material changes

Notice of Material Changes: We will notify you of material changes via:

Email to your registered address
In-app notification
Prominent notice on our website

Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.

15.2 Service Modifications

We reserve the right to:

Add, modify, or remove features at any time without notice
Change the user interface or user experience without notice
Introduce new paid features or subscription tiers with 30 days notice
Change free tier limitations (e.g., reduce from 100 items to 50 items) with 30 days notice
Discontinue the Service entirely with 30 days notice

15.3 Service Discontinuation

If we decide to shut down Linksh permanently, we will provide at least 30 days advance notice via email and in-app notification. You will have the opportunity to export your data during the notice period.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CHAGIL OÜ regarding the Service and supersede all prior agreements, understandings, and communications.

16.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. No waiver shall be effective unless in writing and signed by us.

16.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms and your account to any successor entity (e.g., in a merger, acquisition, or sale of assets) without your consent or notice.

16.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights except as expressly stated.

16.6 Survival

Provisions that by their nature should survive termination shall survive, including but not limited to: User Responsibilities, Indemnification, Disclaimers, Limitations of Liability, Intellectual Property, and Dispute Resolution.

16.7 Language

These Terms are written in English. Any translations are provided for convenience only. In case of conflict, the English version prevails.

16.8 Relationship

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and CHAGIL OÜ.

16.9 Electronic Communications

You consent to receive communications from us electronically (email, in-app messages, website notices). Electronic communications satisfy any legal requirement for written communication.

17. Acknowledgment and Acceptance

BY CLICKING "I AGREE," CREATING AN ACCOUNT, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT:

You have read, understood, and agree to be bound by these Terms
You have read and agree to our Privacy Policy
You are at least 16 years of age
You understand the Service is provided "as is" with no guarantees
You accept the limitations of liability described herein
You understand we may terminate your account at any time
You agree to the governing law and jurisdiction of Estonia
You grant us the licenses described in Section 5.2

If you do not agree to these Terms, you must not use the Service.
